Terms of Service

1. Acceptance of Terms

By accessing or using SoundWeb ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform. We reserve the right to update these terms at any time, and continued use constitutes acceptance of any changes.

2. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You must be at least 13 years old to create an account.
• One person may maintain multiple accounts only for separate artist profiles.
• We reserve the right to suspend or terminate accounts that violate these terms.

3. User Content

By uploading content to SoundWeb, you represent that:

• You own or have the necessary rights and licenses to the content you upload.
• Your content does not infringe on any third party's intellectual property rights.
• Your content does not contain illegal, harmful, or offensive material.

You retain ownership of your content. By uploading content, you grant SoundWeb a non-exclusive, worldwide license to display, distribute, and promote your content within the Platform.

4. Music Reviews

• Hosts may operate music review sessions and receive submissions from other users.
• Submitting a track to a music review does not guarantee it will be reviewed or promoted.
• Hosts have full discretion over which tracks they review, upvote, or skip.
• Skip pass purchases are non-refundable once the submission has been placed in the priority queue.

5. Payments & Subscriptions

• Premium (GBP 9.99/month or GBP 89.99/year): Provides access to premium features including advanced profile customization and priority placement.
• Label ($30/month): Provides team management features for managing multiple artist profiles.
• Skip Pass (GBP 5 one-time): Moves your music review submission to the priority queue.
• Beat Purchases: Pricing is set by the producer and shown at checkout.

All payments are processed securely through Stripe. Subscriptions renew automatically unless canceled. You may cancel your subscription at any time through your account settings. Refunds are handled on a case-by-case basis and may be subject to Stripe processing timelines and payment network rules.

6. Creator Earnings & Payouts

• Skips: Hosts earn 60% (GBP 3.00) of each GBP 5 skip purchase. SoundWeb retains 40% (GBP 2.00) as a platform fee.
• Beats: Standard split is 70% to the producer and 30% to SoundWeb. Premium producers keep 100% on beat sales.
• Creators must connect Stripe to receive payouts. Stripe may require identity or bank verification before payouts are enabled.
• Payout availability depends on Stripe processing, chargebacks, refunds, and bank settlement timing.
• SoundWeb may delay or reverse payouts to cover refunds, disputes, chargebacks, or suspected fraud.
• Creators are responsible for their own taxes, fees, and compliance obligations related to earnings.

By using monetization features, you agree to Stripe's Connected Account Agreement and Stripe's services terms applicable to your account.

7. Prohibited Conduct

You agree not to:

• Upload content that infringes on others' intellectual property rights.
• Use the Platform for any illegal or unauthorized purpose.
• Attempt to gain unauthorized access to other users' accounts or Platform systems.
• Manipulate the music review queue or voting system through bots or fake accounts.
• Harass, abuse, or threaten other users.
• Use the Platform to distribute spam, malware, or harmful content.
• Resell or redistribute skip passes or subscriptions.

8. Intellectual Property

The SoundWeb name, logo, design, and all platform features are the intellectual property of SoundWeb. You may not copy, modify, or distribute any part of the Platform without prior written consent. User-generated content remains the property of its respective creators.

9. Limitation of Liability

SoundWeb is provided "as is" without warranties of any kind, express or implied. We are not liable for any indirect, incidental, or consequential damages arising from your use of the Platform. Our total liability for any claim related to the Platform shall not exceed the amount you paid to SoundWeb in the 12 months preceding the claim.

10. Termination

We may suspend or terminate your account at any time for violations of these terms. Upon termination, your right to use the Platform ceases immediately. Content you have uploaded may be deleted. Any pending host earnings at the time of termination due to policy violations may be forfeited.

11. Governing Law

These Terms of Service are governed by and construed in accordance with applicable laws. Any disputes arising from these terms shall be resolved through good-faith negotiation before pursuing other legal remedies.
